Support corporate governance matters, including drafting board materials, maintaining corporate records, and ensuring compliance with internal policies.
Assist with securities law matters, including periodic reporting, disclosure review, and compliance with NYSE/Nasdaq listing standards.
Support M&A transactions, joint ventures, financings, and other strategic corporate initiatives.
Review, draft, and negotiate a variety of commercial agreements.
Monitor regulatory developments affecting digital assets, mining, securities, and corporate operations.
Provide practical, timely legal advice to business teams and leadership.
Collaborate with external counsel as needed.
Contribute to building and scaling internal legal processes and infrastructure.
Requirements
J.D. from an accredited law school; admitted and in good standing with at least one U.S. state bar.
2–3 years of substantive experience in corporate law, securities, or mergers & acquisitions at an AM Law 100 firm or in-house at a NYSE or Nasdaq-listed company.
Strong drafting, analytical, and organizational skills.
Ability to prioritize and manage multiple projects with minimal oversight.
Comfortable working autonomously in a remote-first environment.
Demonstrated initiative, resourcefulness, and sound business judgment.
Cryptocurrency, blockchain, or digital asset industry experience is a plus, but not required.
