Role Overview
Serve as a trusted legal advisor to executives and senior leadership on matters related to equity and debt capital markets, structured financings, and strategic transactions supporting the company’s global growth.
Lead and execute complex financing transactions, including equity offerings, high-yield and convertible debt, asset-backed and structured financings, and other innovative capital solutions.
Partner closely with Corporate Development, Strategic Financing, Finance, Treasury, and executive leadership to design and execute financing structures aligned with the company’s business objectives and long-term growth strategy.
Lead and manage M&A transactions, joint ventures, strategic partnerships, and other transformative transactions that accelerate the company’s expansion.
Act as primary deal manager for complex transactions, coordinating internal stakeholders and ensuring efficient execution across multiple jurisdictions.
Oversee, build, and mentor a high-performing team of attorneys and paralegals focused on capital markets and strategic transactions.
Manage outside counsel and other external advisors, ensuring strategic alignment, quality execution, and cost efficiency.
Identify, assess, and mitigate legal, regulatory, and transactional risks associated with financing and strategic initiatives.
Help develop scalable legal frameworks, transaction processes, and governance structures to support a complex and active transactional pipeline.
Requirements
Juris Doctor (JD) from an accredited law school; active bar admission in at least one U.S. jurisdiction.
15+ years of experience at a leading law firm and/or in-house legal department, with significant experience leading complex capital markets and strategic transactions.
Deep experience advising on and executing equity and debt offerings, including high-yield, convertible, asset-backed, and other structured financings.
Strong background in M&A, joint ventures, and strategic partnerships across multiple jurisdictions.
Proven ability to act as primary deal counsel to structure, negotiate, and close complex transactions in fast-moving environments.
Experienced people leader with a demonstrated ability to build, mentor, and scale high-performing legal teams.
Business-minded, pragmatic, and solutions-oriented, with a strong understanding of how legal strategy drives corporate growth.
Comfortable operating in a highly visible role with significant executive and board-level interaction.
