Provide day-to-day legal support in the areas of non-profit transactions and governance, corporate/regulatory compliance and other general corporate matters.
Support corporate transactions and governance for CCNY and assigned affiliated entities, including drafting, reviewing and negotiating routine contracts and other agreements.
Drafting and reviewing board and committee resolutions, consents, and minutes; advising on bylaws and committee charters.
Preparing Board committee materials and reports.
Advise on applicable laws for tax-exempt organizations, including New York Not-for-Profit Corporation Law (N-PCL) and related statutes.
Support entity management for multiple subsidiaries and affiliates, including annual filings and compliance obligations.
Assist with non-profit regulatory compliance filings and reporting, including charitable registration, conflict-of-interest disclosures, other governance related policies.
Provide legal support on internal initiatives involving corporate structure, risk management, and organizational change management.
Support the General Counsel in other areas of risk management, including supporting HR related matters (policy review/drafting).
Requirements
Juris Doctor from an accredited law school.
Admission and good standing to New York State Bar or eligible for in-house counsel registration
3-5 years of corporate legal experience, preferably representing tax-exempt organizations
In-house experience preferred but not required
Must be able to work independently with little oversight and manage multiple internal clients/stakeholders simultaneously.
Must be comfortable managing and prioritizing aggressive and fixed deadlines.
Superior professional writing and interpersonal skills.
Knowledge and familiarity of NYS Nonprofit law and NYS Charities Bureau Laws & Regulations.
Commitment to the mission of serving vulnerable New Yorkers.
Basic knowledge of government procurement law/government contract desirable but not required.
