Draft, review, and negotiate a wide range of client and vendor agreements, including engagement letters, master services agreements, confidentiality agreements, SaaS and technology agreements, data protection addenda, and related statements of work.
Analyze contractual risk and provide clear, commercially pragmatic guidance to partners and firm leadership.
Serve as an escalation point for complex or non-standard contractual terms.
Review high-risk engagement opportunities to identify risk exposure and recommend mitigation strategies.
Develop, refine, and maintain contract templates, fallback language, and negotiation playbooks to drive consistency and efficiency.
Support the application of privacy and compliance requirements within commercial agreements and internal processes.
Collaborate with IT, information security, and risk management teams to ensure contractual and operational compliance.
Contribute to the development and implementation of internal compliance policies and best practices.
Partner with the General Counsel to design and implement scalable legal processes and systems.
Evaluate, implement, and optimize contract lifecycle management (CLM) tools and AI-assisted contract review platforms.
Leverage technology and automation to improve turnaround times, reduce risk, and enhance internal client experience.
Establish metrics and best practices to support an efficient, data-informed legal function.
Build strong working relationships with partners and firm leadership across service lines.
Provide solutions-oriented advice aligned with Withum’s risk profile and growth objectives.
Contribute to the long-term development and expansion of the legal department, including future team-building initiatives.
Support special projects and firm-wide initiatives as needed.
Requirements
J.D. from an accredited law school.
6–8 years of relevant legal experience, preferably in a law firm and/or in-house role supporting professional services, consulting, accounting, or technology-driven businesses.
Admission to a U.S. state bar in good standing.
Significant commercial contracting experience, including risk allocation, limitation of liability, indemnification, and data protection terms.
Working knowledge of U.S. privacy and data security laws.
Experience improving legal workflows or implementing legal technology tools; familiarity with CLM systems or AI-assisted contract review platforms strongly preferred.
Strong business judgment and ability to make risk-based decisions independently.
Exceptional organizational skills and ability to manage high contracting volume.
