Assist in drafting routine corporate documents for limited liability companies and corporations, including articles of association, amendments, bylaws, and minutes of partners' and shareholders' meetings.
Support the preparation of documents related to corporate reorganizations and structured transactions.
Assist in conducting legal due diligence processes, including analyzing and organizing documents in data rooms, and preparing/updating audit reports.
Monitor and support registration and filing procedures before commercial registries, notaries, and other competent authorities, in coordination with the paralegal team.
Provide support to other lawyers in the structuring and implementation of corporate transactions.
Conduct legal and regulatory research on legislation, doctrine, and case law applicable to corporate and business law.

Active registration with the Brazilian Bar Association (OAB).
Knowledge of Corporate and Business Law, including the Brazilian Corporations Law (Lei das Sociedades por Ações), the Civil Code, and other regulations applicable to the formation, organization, and governance of companies.
Familiarity with the key legal instruments used in corporate transactions and with filing and registration routines before commercial registries and notaries.
Previous experience or internship in corporate or business law.
Knowledge or experience in M&A transactions and/or corporate reorganizations will be considered a plus.
