Lead and manage structuring initiatives, including the design, formation and negotiation of semi-liquid products, feeder funds (domestic or domiciled in other jurisdictions) and other solutions customized to accommodate various client segments.
Negotiate distribution agreements, introducer agreements, sales-agent agreements and other distribution-related agreements with distributors and/or intermediary platforms.
Advising on regulations relating to the establishment, management, governance and marketing of Partners Group’s semi-liquid products across APAC jurisdictions.
Partner with our Client Solutions team to identify solutions to provide private markets investments to APAC Private Wealth market and generally support business development efforts in the region (presentations, client meetings, expansion into new markets, etc.).
Collaborate with the wider global Structuring team on global product and distribution opportunities.
Assume responsibility and ownership for select funds, including maintenance and related processes and procedures.
Lead structuring discussions with investors and distributors.
Draft and/or review agreements, offering memoranda, articles, limited partnership agreements, side letters, administration agreements, depositary agreements, portfolio management/ advisory agreements, distribution agreements and other documentation relating to a variety of investment structures.
Contribute to defining and implementing an optimal product strategy aligned with PG’s ambition in the Private Wealth and semi-liquid market segment.
Contribute to developing, maintaining and implementing robust processes, resulting in efficient product launches and product maintenance, with strong controls and minimized risks of errors.
Foster strong local relationships with external legal advisors and manage external legal advisors and other service providers in a cost-effective manner.
Efficiently manage complex structuring projects from a legal, operational and project management perspective.
Research tax, legal, regulatory and accounting considerations relevant to specific clients, products and jurisdictions and apply research to contribute to product innovation and product formation.
Requirements
Common law qualified lawyer based in Singapore with at least 7+ years of relevant work experience at a top tier law firm, bank and/or asset manager.
Experience developing, maintaining and distributing private markets products (semi-liquid funds, institutional and retail focused products, securitized vehicles and other innovative structures) and negotiating side letters; portfolio management/ advisory agreements, distribution agreements and other strategic arrangements.
Experience working with mutual funds or other publicly distributed funds would also be well regarded.
In depth legal and regulatory knowledge in relation to investment funds suitable for APAC investors accessing private markets investments (including domestic funds; feeder structures and funds domiciled in other jurisdictions e.g. Cayman Islands and Luxembourg) and the distribution of such funds to different client segments in the various APAC market.
In addition, a sound understanding of tax issues applicable to different client segments across APAC jurisdictions would be desirable.
Experience developing and distributing products in the domestic market, including relevant legal and operational experience working with distribution partners and institutional investors.
Commercially minded individual with a strong business acumen, ideally developed via relevant industry experience.
Self-motivated and proactive individual with strong desire to learn and succeed.
Excellent analytical, interpersonal and project management skills to manage multiple projects at any one time.
Excellent written and verbal communication skills in English required.
Proficiency in Mandarin is a plus.
