Report directly to the General Counsel
Prepare, manage and oversee the company’s SEC filings
Provide support to the Board of Directors and its Committees on public disclosures and corporate governance
Draft and file the company’s annual proxy statement
Ensure compliance with SEC and NASDAQ rules and regulations
Provide legal support on executive compensation and equity plan administration
Legal support to the Corporate Secretary for Board of Director meeting materials
Collaborate on external communications such as earnings releases and press releases
Support maintenance of the Company’s subsidiaries and corporate transactions
Act as a key business partner and advisor to the company’s executive team

Juris Doctor degree from an accredited law school
At least 5 years’ practice with an established law firm
At least 10 years’ experience as a deputy general counsel or a similar role at a public company
Must be admitted, active and in good standing with the State of California
Highly analytical with exceptional business and legal issue identification and problem-solving skills.
Practical, business-oriented approach to problem-solving; able to counsel internal clients with clear and pragmatic advice
Ability to operate autonomously while being a team player who brings a positive attitude to the workplace
