Draft, review, and analyze contracts of various natures, including highly complex agreements, identifying risks and taking necessary measures to mitigate them in order to reduce potential exposures and impacts to the Company. These include: service agreements; advisory and consulting contracts; agreements with financial institutions, including those related to investment funds; sponsorship agreements; technology contracts — whether for implementing a tool or software or obtaining a license; among others. Familiarity with the NETLEX platform is desirable.
Prepare minutes of the Ordinary General Meeting, Extraordinary General Meetings, Board of Directors meetings, and Executive Board meetings of the Company, and, when necessary, file them with the Commercial Registry of the State of Minas Gerais (JUCEMG) and the Commercial Registry of the State of São Paulo (JUCESP), ensuring that information is updated, when applicable, in the REDESIM system of the Brazilian Federal Revenue. Maintain the Company's corporate books up to date to reflect corporate acts carried out by the Insurer.
Monitor and respond promptly to official communications (Ofícios) issued by the Superintendence of Private Insurance (SUSEP) that have a regulatory character. Coordinate with other business areas to gather the information requested by the regulatory authority to ensure compliance with regulatory determinations.
Review public bidding notices (Editais de Licitação) to assess whether there are any impediments to the Company's participation in the procurement process. Prepare the documentation required for the Insurer's qualification in the tender, providing guidance and clarifications to the Company's business areas involved in public procurement. Analyze any contract to be executed with the Public Administration, identifying points of attention that may impact the Insurer. Prepare and timely submit challenges/objections to the bidding notice (impugnações) to protect the Insurer's interests in the procurement process.
Support the Company's Human Resources team by answering questions, preparing legal opinions, and providing guidance on labor matters to ensure the Company's compliance with labor legislation.
Support the Company's Tax and Accounting teams by answering questions, preparing legal opinions, and drafting responses to potential notices received from the Brazilian Federal Revenue. Be knowledgeable about changes introduced by the Tax Reform and work internally to implement necessary initiatives to ensure the Insurer's compliance with tax legislation.
Prepare presentations with area indicators (KPIs) for reporting to the Company's Executive Board.
Respond to internal legal inquiries, providing support to the Company's business areas, including drafting legal opinions.
