Act as the primary legal advisor to technology leadership, engineering, product, and data platform teams.
Own end-to-end legal review, negotiation, and execution of technology vendor agreements including SOWs, MSAs, SaaS subscriptions, and professional services contracts.
Build and maintain a lightweight contracting playbook — pre-approved templates, risk-tiered review thresholds, and escalation protocols.
Manage commercial relationships with data platform vendors and enterprise software providers.
Serve as primary legal advisor for technology initiatives on creation, protection, and licensing.
Structure and negotiate data use agreements and clinical data licensing arrangements.
Advise on HIPAA compliance and compliance in AI/ML contexts.
Monitor FDA regulatory positioning for clinical decision support.
Support enterprise AI governance and usage policies.
Responsible for ongoing legal documentation for the Vytal Insights subsidiary.
Provide legal input on capital structure questions as the subsidiary approaches commercialization.
Act as internal legal resource for technology disputes and transaction support.
Requirements
J.D. from an accredited law school and active bar membership in at least one U.S. state.
Minimum 5 years of progressive legal experience with substantial technology transactions work — vendor contracting, SaaS agreements, data licensing, and IP protection.
Demonstrated experience with healthcare data governance: HIPAA, BAAs, data use agreements, and de-identification in the context of analytics or AI/ML.
Experience structuring or advising on IP assignment chains, subsidiary governance documents, or inter-company agreements.
Ability to move at commercial speed on contract review while maintaining legal rigor — the defining skill for this role.
Comfortable operating as a solo practitioner within a team: self-directed, low-maintenance, high throughput.
