Advising on transaction structure and legal frameworks for a DIB
Assessing government contracts, MoUs, and PPP arrangements
Designing and reviewing escrow, trustee, and payment mechanisms
Providing guidance on tax, FX, KYC/AML, and regulatory compliance
Ensuring compliance with data protection and safeguarding requirements
Reviewing and contributing to transaction documentation and conditions precedent
Delivering a suite of practical, transaction-focused legal outputs within a compressed timeline (12 working days)
Supporting (if extended) negotiations and drafting of transaction agreements with investors and public-sector stakeholders
Close collaboration with the transaction team and stakeholders, with outputs tailored for a non-legal audience and focused on enabling investment readiness.
Requirements
Qualification to practice law in Rwanda (or partnership with Rwanda-admitted counsel)
Proven experience in structured finance, blended finance, impact bonds, or PPP transactions
Demonstrated expertise in escrow and trust structuring in multi-party or cross-border contexts
Experience advising on government contracts, MoUs, or PPP frameworks in East Africa
Strong knowledge of tax, FX regulations, and KYC/AML compliance in Sub-Saharan Africa
Understanding of data protection frameworks , including cross-border and sensitive data (e.g. child data)
Experience with DIBs, Social Impact Bonds, or outcomes-based financing
Familiarity with ESG / sustainability bond frameworks (e.g. ICMA principles, SPO requirements)
Experience working with DFIs, foundations, or impact investors
Strong Rwanda regulatory experience and relationships with key institutions
Senior Lead Counsel (Partner level) with experience on comparable transactions
Rwanda-admitted counsel responsible for local legal analysis
Optional supporting associate for drafting and review
Demonstrated ability to deliver within a high-intensity, short timeline.
