Analyze, negotiate and draft subscription agreements, nondisclosure agreements, services agreements and other transactional documents to ensure that business needs are met while minimizing risk to the company
Assist in responding to RFPs and vendor questionnaires by providing timely legal review of customer terms, noting any alternative provisions that should be proposed to align with O’Reilly’s business practices and requirements
Consult with sales, finance, marketing, product, IT and other business units to address their respective business concerns in connection with contract-related issues and decisions
Partner with outside counsel on complex or escalated matters, managing engagements efficiently to control costs and timelines
Contribute to cross-functional legal and business initiatives and special projects as the team's needs evolve
Requirements
A Bachelor's degree
Minimum 5 years’ experience in a contracts-intensive position within new media, online learning and/or technology industries, or a related field with transferable skills
Demonstrated knowledge of legal issues and business concerns relating to SaaS contracts, IP licenses, product/services procurement, AI risk mitigation, and the ability to draft and analyze appropriate language to address such issues
Ability to think strategically and develop persuasive contractual arguments to support business policies and objectives; skilled at problem-solving and reaching compromises in fair and creative ways
Proficiency with Microsoft Word, including advanced use of Track Changes and Compare Documents for contract redlining; comfortable within Google Workspace, Adobe Acrobat (Conversions to/from PDF), and virtual collaboration platforms (Zoom, MS Teams, etc.)
Experience using Salesforce and/or a contracts management system tools such as LinkSquares

Adept at communicating effectively (orally and in writing) with persons from all functional areas and levels within an organization.
