Draft, review, and negotiate a broad range of commercial agreements, including master services, data processing, partner and reseller, business associate, vendor, end user license, confidentiality, and service level agreements.
Prime complex legal transactions with a variety of customers and partners of different scales and sizes, across verticals such as retail, insurance, finance, and healthcare.
Advise internal stakeholders on liability, AI and data use, data privacy, cybersecurity, and regulatory compliance considerations within commercial agreements.
Partner closely with Sales, Operations, Product, Compliance, Procurement, and Finance teams to successfully close customer and partner transactions.
Identify legal risks and provide balanced, pragmatic solutions that support business objectives while managing legal risk in a high-pressure, high-growth environment.
Assist in the development, maintenance, and continuous improvement of contract templates, negotiation playbooks, frequently asked questions, and scalable legal processes that improve efficiency and accelerate deal velocity.
Requirements
Juris Doctor (JD) from an accredited law school.
Active membership in good standing with at least one U.S. state bar.
Between seven and twelve years of combined of law firm and in-house legal department experience.
Four or more years of in-house experience drafting and negotiating complex agreements in a high pressure technology sales environment.
Significant experience with negotiating SaaS, cloud, and other technology agreements.
Experience addressing issues in telecommunications, data privacy, AI, cybersecurity, and regulatory compliance.
Experience managing multiple projects and negotiations simultaneously in a fast-paced demanding environment.
Strong commercial judgment and ability to balance legal risk with business objectives.
