Lead the development and execution of the Mexico commercial contracting strategy.
Lead and mentor a small contracts team (including one direct report) to achieve high performance and professional growth. Oversee the day-to-day activities of contract management, coach the team on best practice, and foster a culture of continuous improvement and accountability.
Develop customer contracting terms for multiple distribution strategies.
Develop contracting strategies for partners, distributors and vendors.
Establish standardized contract templates, policies, and best practices.
Serve as the primary legal advisor for commercial contracting matters, providing guidance on complex and high-impact agreements.
Draft, review, and negotiate commercial agreements including vendor, partnership, customer-facing, NDAs, and licensing contracts.
Develop negotiation strategies to balance legal risk with business priorities.
Collaborate with internal stakeholders to ensure contracts align with operational and commercial goals.
Partner with the marketing team to provide legal support on advertising campaigns, brand agreements, and intellectual property matters, including trademarks, copyrights, and licensing.
Advise on corporate governance matters for Mexican entities, including preparation of board minutes, shareholders’ meeting materials, and corporate resolutions.
Manage corporate secretarial functions and ensure compliance with corporate formalities required under Mexican law.
Support corporate restructuring transactions, including incorporation, amendment of by-laws, and dissolution or liquidation of entities as required.
Coordinate with external notaries and government registries for corporate filings, including the Registro Público de Comercio.
Identify, assess, and manage legal risks associated with commercial transactions.
Ensure contract compliance with regional regulations and company policies.
Implement risk mitigation strategies, providing practical advice to internal clients.
Use Contract Lifecycle Management (CLM) tools to streamline contract workflows.
Establish self-service contracting procedures for routine agreements.
Train business teams on contract management practices to increase efficiency and reduce legal bottlenecks.
Handle contractual disputes and claims in coordination with external counsel when necessary.
Develop strategies for contract enforcement, terminations, or renegotiations as needed.
Monitor contract performance and compliance post-signature to ensure adherence to terms.
Manage commercial litigation matters in coordination with external counsel, including oversight of case strategy, evidence coordination, and supervision of litigation proceedings.
Requirements
7+ years of legal experience, with at least 3 years of in-house experience
Exposure to regulatory compliance in financial services/fintech (for example, understanding of financial regulations or data privacy considerations in contracts).
SaaS vendor experience required.
Strong background in commercial contracts, corporate governance, and labor/employment law
Experience supporting cross-functional teams and working closely with non-legal stakeholders
Practical understanding of Mexican corporate law, IP, Financial Institution contracting frameworks, and local labor law for specialized services contracting.
Working knowledge of intellectual property (IP) law, including trademarks, copyrights, and brand licensing, with experience advising marketing and product teams on IP strategy and risk.
Familiarity with contract lifecycle management (CLM) tools and other legal tech for managing contract workflows.
Proven ability to work in a matrix reporting structure, coordinating between local and global teams.
Self-starter with excellent judgment, a builder’s mindset, and strong execution skills
Fluent in Spanish and English
