Prepare and review commercial contracts, including vendor agreements, partnership agreements, software licenses, and technology and media services agreements
Advise on applicable data privacy and emerging technologies (including AI) laws, including applicable state laws, and provide related input on business projects
Assist with the review and negotiation of data protection and data processing agreements
Contribute to the ongoing improvement of training materials, document templates, internal policies, and resource documents for both businesses
Work with the marketing and product teams to review marketing, sales, and promotional materials and product design for compliance with legal requirements
Proactively identify legal and regulatory trends, research legal issues, and provide related advice
Collaborate with various teams to identify legal issues and assist the Taxwell organization in business development initiatives
Develop a thorough understanding of Drake Software and TaxAct’s businesses, including TaxAct Professional and 1040.com, strategies, external commercial marketplace, and regulatory environment
Analyze and formulate various strategies in a way that supports the business objectives while identifying and mitigating legal risk
Willingness to work with emerging technologies and identify and mitigate legal risk and compliance federal and state laws
Work closely with the Taxwell Procurement; Infosec; and Governance, Risk, and Compliance (GRC) teams
Work closely with and be the primary liaison to the Taxwell Business Development team
Requirements
JD from an ABA-accredited law school and current member in good standing of at least one state bar.
6+ years of legal experience practicing with a law firm and/or in-house legal department, preferably with experience in technology, software, SaaS, privacy, marketing, product counseling, or commercial transactions.
Strong experience drafting and negotiating a wide variety of agreements, including software licenses, SaaS agreements, master services agreements, vendor agreements, referral and marketing agreements, partnership agreements, confidentiality and non-disclosure agreements, data protection agreements, and other general business contracts.
Working knowledge of privacy and data protection laws, including state consumer privacy laws, and experience advising business teams on privacy-related issues.
Familiarity with AI-related legal issues, including data use, transparency, vendor diligence, product counseling, intellectual property, privacy, and emerging regulatory requirements.
Experience advising on advertising, marketing, e-commerce, consumer protection, promotional campaigns, offers, and related FTC or state-law compliance issues.
Ability to provide practical, business-oriented legal advice and balance legal risk with business objectives.
Excellent drafting, negotiation, analytical, and communication skills.
Strong interpersonal skills and ability to work effectively with internal clients, outside counsel, senior management, and business partners.
Ability to work independently, manage multiple priorities, and adapt in a fast-paced, constantly evolving environment.
