Lead the drafting, review, negotiation, and execution of complex commercial agreements, including MSAs, partnership agreements, client agreements, and technology agreements, vendor contracts, professional services agreements, confidentiality agreements, and other strategic arrangements.
Provide practical, business-focused legal advice to senior leaders and cross-functional teams on contractual obligations, risk allocation, regulatory compliance, and the legal impact of strategic initiatives.
Identify legal and commercial risks, develop practical solutions, and negotiate terms that balance risk with business objectives.
Support RFP, RFI, and procurement processes by reviewing customer and vendor terms, advising on obligations, and supporting negotiations through execution.
Advise on legal issues related to payments, financial services, consumer protection, privacy, intellectual property, technology licensing, outsourcing, and regulatory compliance.
Support corporate governance matters, including maintaining corporate records, preparing board and committee materials, drafting corporate resolutions, and supporting regulatory filings and compliance initiatives.
Develop and maintain contract templates, negotiation playbooks, legal policies, and internal guidance to improve efficiency and consistency.
Monitor legal and regulatory developments affecting the payments, banking, fintech, and financial services sectors and provide timely guidance on business impacts.
Manage external counsel as needed for specialized matters while ensuring cost-effective legal support.
Contribute to legal process improvements, governance frameworks, and operational initiatives that support Brim's growth.
Requirements
Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) from an accredited law school.
Member in good standing with a Canadian provincial or territorial law society.
5+ years of progressively responsible experience practicing corporate and commercial law, with significant experience gained in-house and/or at a leading law firm supporting commercial transactions.
Demonstrated expertise drafting, negotiating, and advising on complex commercial agreements, including enterprise customer contracts, technology agreements, SaaS agreements, procurement contracts, strategic partnerships, and vendor arrangements.
Strong understanding of Canadian and US commercial law, corporate governance, privacy, intellectual property, procurement, and regulatory compliance principles.
Proven ability to independently manage complex legal matters, prioritize competing demands, and provide practical, risk-based legal advice in a fast-paced, high-growth environment.
Excellent negotiation, analytical, and problem-solving skills with sound legal judgment and strong commercial acumen.
Outstanding written and verbal communication skills, with the ability to explain complex legal concepts to both technical and non-legal audiences.
Strong interpersonal skills with demonstrated success building trusted relationships across all levels of an organization.
High degree of professionalism, integrity, sound judgment, and attention to detail.
Bonus if you have experience advising technology, fintech, financial services, banking, payments, or other highly regulated organizations.
