What You'll Do
We are hiring a Legal Counsel to join Sprinklr’s Commercial Legal team in MEA, and APJI reporting to the Associate General Counsel, Commercial. The Legal Counsel will have responsibility for a broad range of legal matters across the MEA and APJI regions in supporting all aspects of Sprinklr’s commercial operations. The Legal Counsel will work cross-functionally across time zones within the Legal team and across the business to efficiently and effectively support sales in negotiating customer contracts, appropriately balancing revenue generation with risk mitigation. This position requires an independent, disciplined self-starter with a team-focused mindset and a passion for resolving today’s problem and executing long term strategies and best in class industry practices in private and public sector that improve productivity, remove bottlenecks, and serve as blueprints for global adoption and use. It also requires strong communication skills, the ability to present positive, creative business friendly solutions, and advise management of risks and derisk strategies to help the business achieve its goals. The Legal Counsel will closely collaborate with subject matter experts within the Legal department such as commercial contracting, privacy, security, compliance, corporate governance and extended cross functional team of experts to drive discussions and strategic solutioning to safeguard Sprinklr interest internally and externally.
Responsibilities
Review, draft and negotiate all forms of company contracts with some of the world’s largest and most respected brands in the public and private sector. This includes but is not limited to Non-Disclosure Agreements, SaaS Agreements, Professional Services Agreements, Master Services Agreements, Order Forms, Statement of Works, Data Processing Addendum, Privacy Terms, Artificial Intelligence Terms, Security Frameworks, Request For Proposals, Statement of Compliance, Proof of Concepts, Code of Conducts, Regulatory and Policy Documents, Vendor Registration Documents, Partnership Agreements and Terms, Product Terms, and Service Level Agreements.
In collaboration with our Data Privacy Team and other Subject Matter Experts, advise Sprinklr business on data protection/privacy and other matters.
Interpret contractual terms and conditions and confidently advise internal and external stakeholders and management over emails, calls or in person regarding contractual obligations and business friendly solutions or strategies to resolve business issues.
Develop, implement and maintain standard templates, forms, playbooks, clause library, and processes and assist internal and external stakeholders with education and adoption.
Provide training to the sales and services teams that you support and across the wider Sprinklr business as required.
Provide transactional support and general legal advice to different teams across the company on mitigating legal risks in the commercial context and work closely with cross functional teams across the business to achieve business outcomes with safeguarding Sprinklr interest.
Handle other project-based work within the scope of the legal department responsibilities on as-needed basis including assistance with changes to contracting, AI use/ adoption and quote to cash process at Sprinklr.
Develop strong relationships with other members of the Sprinklr Legal team and business stakeholders, becoming a trusted advisor to internal clients.
Requirements
Bachelor or Masters Law degree from an Indian or Middle East law school/university.
5+ years of experience as a corporate attorney providing legal advice and negotiating agreements in a software/technology/public listed environment, or at a law firm providing such services to clients in that environment.
Expertise in India and/or Middle East laws and regulations, commercial and contract law. Working in international jurisdictions is a plus.
Success working with sales teams in customer negotiations and contracting. Prior use of a contract lifecycle management software (e.g. Conga/ SFDC) is a plus.
In-depth understanding of contract law and software contract requirements and strong skills in negotiating SaaS agreements.
Excellent organizational skills with great attention to detail, common sense and a sense of humor.
Strong written and oral communication skills to a variety of audiences, including the ability to clearly and concisely explain legal concepts to a business audience.
Ability to work with independence, manage competing priorities effectively, and meet deadlines.
Outcomes-oriented, creative, and collaborative, able to think outside the box to arrive at business -friendly solutions.
Comfortable in a fast-paced and demanding environment, and able to maintain calm and perspective under pressure.
