LexisNexis Risk Solutions helps organizations manage risk and ensure compliance. The Corporate Counsel position provides strategic legal guidance to the Business Services and Government business units, focusing on commercial, regulatory, and product matters while mentoring legal staff.
Responsibilities:
- Draft, review, and negotiate complex B2B commercial agreements (SaaS, licensing, reseller, master services, and data privacy/security)
- Create and update contract templates; provide guidance on escalations and high-priority negotiations
- Support the sales team throughout the customer lifecycle, from initial engagement through contract execution
- Advise on regulatory, data privacy, marketing, and competition issues impacting current and prospective products
- Partner with cross-functional teams to align commercial terms with legal standards and business goals
- Provide legal support for mergers, acquisitions, and post-acquisition integration
- Support international expansion initiatives and related compliance needs
- Develop and implement risk mitigation strategies, including training and contract governance processes
- Manage escalations, resolve customer legal inquiries, and drive efficient solutions
- Coach and mentor legal staff to support professional growth
- Contribute to departmental efficiency by developing and implementing administrative and reporting measures
Requirements:
- J.D. or equivalent law degree; licensed to practice law in the United States
- 5+ years of corporate law department experience, preferably in-house
- Strong negotiation, drafting, and communication skills (written, verbal, and presentation)
- Proven ability to assimilate legal, business, and technical issues to make sound decisions
- Strong integrity, business ethics, and decision-making skills
- Ability to manage multiple priorities under tight deadlines
- Willingness to travel as needed (low to moderate travel anticipated)
