THE OPPORTUNITY
Cyera is looking for a Procurement Counsel to join its global legal team and lead the company’s vendor and procurement contract function end-to-end. This is a high-impact role at the intersection of legal, technology, and business: you will handle a high volume of vendor agreements independently, build the institutional processes and playbooks that scale with Cyera’s growth, and serve as the internal champion for our Ironclad CLM and Ramp platforms. You will work closely with our Finance, Procurement and Security teams and report into the Senior Director of Legal.
RESPONSIBILITIES:
- Drive Strategic Procurement Transformation. Design and continuously improve end-to-end procurement and vendor lifecycle processes. Build a scalable contracting framework that enables efficient vendor engagement, reduces friction, and supports Cyera’s global growth.
- Commercial Contracting. Draft, negotiate, and advise on a broad range of global vendor and procurement agreements, including SaaS, cloud services, software licensing, professional services, marketing, consulting, and strategic outsourcing agreements. Balance legal risk with business objectives while managing risks, including security, privacy, AI, and regulatory compliance.
- Process Optimization & Metrics. Utilize data-driven metrics to identify process bottlenecks and optimize contract cycle times. Implement continuous improvement initiatives to ensure legal operations keep pace with business velocity.
- Build for Scale. Develop playbooks, templates, approval workflows, and governance to support a rapidly growing global business while maintaining consistency and appropriate risk controls.
- Cross-Functional Partnership. Partner closely with Finance, Procurement, Security, IT and other business stakeholders to deliver pragmatic legal guidance, streamline vendor onboarding, and align contracting with business priorities.
- Outside Counsel Coordination. Triage inbound contract requests; escalate complex, adversarial, or cross-border matters (e.g., EU law) to outside counsel as appropriate.
- Spend Management. Help reduce Cyera’s reliance on outside counsel by absorbing routine work in-house, enabling tighter control over legal spend.
- AI-Forward. You will leverage AI-powered tools to accelerate contract review, playbook development, and first-pass redlining. Stay current on emerging legal technology and identify opportunities to integrate AI into Cyera’s legal workflows, reducing cycle times and freeing capacity for higher-judgment work.
Requirements
REQUIRED QUALIFICATIONS:
- J.D. from an accredited U.S. law school and active bar membership in at least one U.S. jurisdiction
- 5-7+ years of experience in procurement counseling, vendor management programs, and strategic sourcing within high-growth tech environments.
- Excellent drafting and communication skills; ability to explain legal concepts clearly to non-legal stakeholders
- Experience with global data privacy, cybersecurity, and AI regulatory frameworks, including
- GDPR, CCPA, and the EU AI Act, with hands-on experience structuring and negotiating DPAs, security addendas, and AI governance terms in complex commercial agreements.
- Deep expertise in process mapping, workflow automation, and complex system integrations (specifically CLM, ERP, and spend management platforms).
- Strategic mindset focused on reducing total cost of ownership (TCO) and driving significant measurable improvements in operational efficiency.
- Strong command of standard commercial terms: IP, indemnification, liability, data privacy, and SLA provisions
- Comfort working at pace in a fast-moving, high-growth environment
NICE TO HAVE:
- Experience building a contracts function from early stage, including template libraries and playbooks
COMPENSATION INFORMATION:
Compensation Range: $160,000-$200,000
The range represents total compensation, and may include incentive for sales roles, equity or benefits, as applicable.
This compensation range represents Cyera’s good faith and reasonable estimate of the range of possible compensation for this role at the time of posting, and Cyera may ultimately pay more or less than the posted range. The final salary for this position will be determined in Cyera’s sole discretion, consistent with applicable law, and based on a variety of factors, including but not limited to the employee’s work experience, skills, and qualifications for the role, as well as the needs of Cyera’s business and other operational considerations.
Final compensation will vary based on seniority and relevance of experience, location, and position requirements.
This role may be eligible for potential merit increases based on factors such as individual or company performance, time in role, and other discretionary factors.
