Lead negotiations on a variety of commercial agreements, including SaaS licensing agreements, Master Purchasing Agreements, DPAs, Service Agreements and more.
Collaborate closely with the sales, finance, security and other internal stakeholders to ensure alignment on deal terms and business objectives.
Provide strategic legal advice and counsel on complex commercial transactions, identifying and mitigating potential risks while maximizing business opportunities.
Draft, review, and negotiate a broad range of legal documents and contracts with a focus on balancing business needs with legal protections.
Develop and maintain strong relationships with key stakeholders, acting as a trusted legal advisor and partner.
Stay abreast of industry trends, legal developments, and regulatory changes that may impact the company’s commercial operations.
Assist in the development and implementation of best practices and standardized templates for contracts and other legal documents.
Mentor and provide guidance to junior legal team members as needed.
Requirements
Juris Doctorate (J.D.) degree from an accredited U.S. Law School and active admission to a State Bar
10+ years of experience drafting and negotiating a wide range of commercial contracts, with an emphasis on software licensing for cloud-based providers and supporting complex indirect sales deals
Proven track record of successfully negotiating and closing complex commercial deals involving data privacy and data security documents
Strong drafting and negotiation skills along with excellent business judgment and critical thinking skills
Ability to collaborate with legal and non-legal colleagues and manage multiple competing priorities in a fast-paced environment with a “roll up your sleeves”, team-oriented mentality
Excellent interpersonal, verbal and written communication skills.
