M&A Legal Counsel

Role Overview

• Provide day-to-day counsel and advice regarding various legal matters
• Review, evaluate and manage possible candidates for mergers and acquisitions
• Advise the company on mergers and acquisitions issues
• Draft and negotiate purchase agreements
• Assist with acquisition financing
• Manage due diligence reviews
• Interface with various Business Units
• Manage outside counsel and consultants
• Proactively identify trends and gaps in processes
• Handle other duties and projects as assigned

Requirements

• minimum of five years of legal experience
• Juris Doctorate from an accredited law school
• Active Bar license
• Strong experience with mergers and acquisitions
• Familiarity with common contractual language
• Understanding of state, federal and other regulatory laws
• Demonstrated problem solving abilities
• Experience with SEC reporting preferred but not required
• Experience in contractual matters in a manufacturing environment preferred
