Draft and negotiate commercial contracts including technology-related/SaaS agreements, vendor agreements, professional services agreements, non-disclosure agreements, and data sharing agreements;
Work cross-functionally with business leaders and key stakeholders (e.g., Sales, Product, Finance) to manage the contracting process, negotiate agreements and drive deals to closure;
Respond to inquiries and advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal considerations, as appropriate;
Coordinate and assist with risk assessments, and related requirements;
Undertake special projects, and support legal and compliance program initiatives;
Support response to third-party requests for information, litigation holds, electronic discovery and other related topics;
Work cross-functionally with relevant stakeholders to integrate these policy requirements into business operations;
Take on additional assignments and responsibilities as business needs dictate;
Maintain compliance with Inovalon’s policies, procedures and mission statement;
Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon’s Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position;
Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Employer.
Requirements
A minimum of five (5) years of relevant legal experience as a practicing attorney with at least two (2) years working at a law firm, corporate legal department or similar environment;
Experience with a healthcare organization/company, another regulated industry or a healthcare-focused government agency is preferred but not required;
Tangible experience in commercial contracting, including drafting, reviewing, negotiating and advising business partners on complex agreements;
High volume commercial transactions experience with a sales-driven, software or other technology company is a plus;
Ability to draft, negotiate and close commercial agreements independently;
Knowledge of laws and regulations related to healthcare privacy and security;
Must be able to communicate clearly and professionally in writing and verbally;
Good business judgment, with the ability to think tactically and strategically and provide practical advice by balancing business needs with legal risks;
A self-starter who is detail oriented and able to work independently in a fast-paced and dynamic work environment with minimal supervision.
