Role Overview
Organize and conduct meetings of the Company's statutory bodies (Executive Board, Board of Directors, Fiscal Council, Committees), from preparation through drafting of minutes.
Review and revise charters, policies and internal regulations of the Company's governance bodies.
Draft corporate acts and update statutory books, as well as adopt procedures and monitor filings with commercial registries, legal publications and obtaining operating permits.
Manage and update corporate and administrative databases and controls.
Prepare and follow administrative proceedings before SUSEP for approval (homologation) of corporate acts, and analyze and respond to regulator requests related to governance and corporate matters.
Analyze and monitor corporate and insurance legislation and their impacts on the Company's activities.
Manage governance routines, workflows and tools, including onboarding processes for members of governance bodies, document organization and access control.
Manage and control powers of attorney and mandates, including monitoring deadlines and updates.
Interface with internal departments, external auditors and contracted firms (lawyers, consultants, etc.), and provide technical and legal input on corporate governance and corporate law matters.
Requirements
Law degree and active registration with the Brazilian Bar Association (OAB);
Previous experience in Corporate Governance routines, Corporate Law and working with the regulator SUSEP;
