Prepare, file, and maintain corporate entity formation documentation
Conduct day-to-day management of general corporate governance matters
Draft, file, and manage various business filings for corporate entities, US and international, including regulatory filings, resolutions, powers of attorney, and other required documentation
Maintain corporate records, including resolutions, meeting minutes, corporate officer and director changes
Assist attorney with reorganizations and dissolutions of subsidiaries
Assist with execution of foreign annual meetings, prepare meeting materials, and ensure compliance with legal requirements
Manage corporate organizational chart
Manage incoming service of process notifications
Assist with due diligence on financial transactions related to corporate entity matters
Manage KYC and AML processes, US and international
Monitor state and federal regulatory trends, activities, and requirements related to entity management activities
Assist in managing and organizing legal and corporate documentation & quality control for past and present files to ensure accuracy and completeness
Suggest and implement process improvement
Assist legal team with other duties and projects, as assigned
Requirements
Bachelor’s Degree or equivalent professional experience
3+ years of professional experience as a paralegal or equivalent job experience
Corporate Entity Management Experience
Hands-on, self-starter who is disciplined and detail-oriented with the ability to work independently as well as in a team setting that requires a highly accurate and timely work product
Excellent listening, written, verbal, organizational and interpersonal skills
Strong work ethic and accountability
Strong knowledge of legal terminology, document formatting, and contract structure
Experience with construction law and legal databases is a plus
Ability to manage multiple tasks and deadlines with precision and professionalism
Proficient in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint)
Ability to handle sensitive information with discretion and maintain confidentiality
Proficient computer skills including Microsoft Office Suite (Word, PowerPoint, Outlook, and Excel), OneDrive, SharePoint and DocuSign.
