Lead and manage the corporate governance of the Group’s portfolio of entities in your responsibility, including day‑to‑day corporate housekeeping and complex corporate operations
Oversee and execute incorporations, dissolutions, liquidations, restructurings, cross‑border reorganisations, mergers, splits, asset and share disposals
Manage changes to articles of association, board and officer appointments, delegations of authority and statutory filings
Ensure timely approval of accounts, corporate resolutions and compliance with local statutory and regulatory requirements
Advise, coordinate and monitor corporate operations of Group subsidiaries across multiple jurisdictions
Manage and supervise local legal counsels and corporate secretarial service providers for foreign subsidiaries
Act as escalation point for complex or sensitive corporate matters involving local stakeholders
Develop, structure, negotiate and maintain intra‑group agreements and powers of attorney/delegations
Contribute to the design, implementation and optimisation of corporate legal tools, templates, playbooks, KPIs and legal processes
Act as a key legal reference for the Group Authority Matrix, ensuring that corporate and strategic decisions, approvals and delegations are structured, documented and implemented in line with Group governance rules
Support the design, maintenance and evolution of the Group Authority Matrix, in coordination with the Group General Counsel and other relevant Group stakeholders
Advise senior management and business stakeholders on applicable approval levels, signature authorities and escalation paths for corporate and governance‑related decisions
Ensure consistent application of the Group Authority Matrix across subsidiaries and legal entities, including through clear guidance, governance controls and best‑practice recommendations
Play a key role in external growth and strategic operations (M&A), including legal due diligence, transaction structuring, drafting and negotiation of transaction documentation
Provide senior legal support on corporate compliance matters and governance‑related risk management
Contribute to significant transversal legal projects aligned with the Group Legal Strategy
Identify and anticipate business needs, translate them into legally sound and business‑oriented solutions
Provide clear, value‑added advice to senior management and key internal stakeholders
Promote best practices, legal awareness and governance culture through training and ongoing engagement with the business
Act as a role model within the legal team, contributing to knowledge sharing and mentoring.
Requirements
Law degree (graduate or post‑graduate)
Excellent command of advanced business legal English (written and spoken); preferred strong French skills
Strong interpersonal, negotiation and stakeholder‑management skills; diplomatic and credible at senior level
Strong business and financial sensitivity with the ability to balance legal risk and commercial objectives
Strategic mindset combined with a hands‑on, solution‑oriented approach
Strong focus on legal operations, process improvement and legal design
Excellent organisational skills, attention to detail and ability to manage multiple complex matters in parallel
Comfortable operating autonomously in a fast‑paced, matrix and international environment
Agile, proactive and resilient; able to set priorities and drive matters to completion
Minimum 5–7 years’ experience in corporate law within an international, multi‑entity environment (in‑house or top‑tier law firm experience preferred)
Strong, proven track record in complex corporate transactions and M&A matters
Excellent understanding of corporate governance, group structures and cross‑border operations
High professional ethics, discretion and strong sense of accountability
