Securities law compliance (such as Forms 10-K, 10-Q, 8-K, rules check and compliance)
Section 16 filings (Forms 3 and 4)
Compliance with public company reporting and disclosure obligations (NYSE compliance; share ledger management; etc.)
Treasury matters
Subsidiary management
Support various aspects of the Corporate Secretary function
Support know-your-customer compliance processes
Transactional support, including capital markets transactions, M&A transactions, and venture investments
Requirements
2+ years of corporate transactional/securities law experience with a large law firm
Bachelor’s Degree and Juris Doctorate (J.D.) from an accredited law school
Admission to at least one U.S. state bar
Exceptional interpersonal skills and outstanding academic credentials
Demonstrated team orientation with desire to broaden knowledge and perspective through variety of tasks
Ability to work under pressure and juggle multiple priorities in an effective manner by leveraging robust adaptability, multi-tasking, and time management skill sets
High degree of initiative and attention to detail.
