Review and analyze technology company sales contracts, including: Master Services Agreements (MSAs), SaaS and software licensing agreements, customer sales agreements, reseller and partner agreements, professional services and managed services agreements
Provide clear, business-oriented feedback and recommendations on contract terms, including suggested positions and fallback language
Act as a key contributor to the Sales Deal Desk function, supporting efficient deal structuring and contract execution
Identify, assess, and escalate legal and commercial risks in contracts
Coordinate with external legal counsel for guidance, escalations, and specialized review
Develop a strong understanding of Messagepoint’s products, services, and business operations to inform contract decisions
Review agreements for data privacy considerations, including handling of PII and PHI
Support contract negotiations involving customers across Canada and the U.S.
Maintain and manage contract templates, documentation, and version control
Contribute to the development and continuous improvement of contracting processes, playbooks, and standards
Requirements
Paralegal certification or equivalent experience in corporate/commercial law
Strong experience reviewing and supporting negotiation of sales contracts in a SaaS or technology company
Solid understanding of commercial contract terms and risk considerations (non-lawyer role)
Experience working in or alongside a Sales Deal Desk or Sales Operations function
Familiarity with: SaaS/software agreements
Professional services and managed services contracts
Reseller and partner agreements
Ability to provide practical, business-focused recommendations on contract positions
Experience coordinating with external legal counsel
Knowledge of data privacy concepts, including PII and PHI
Experience working with customers across Canada and U.S.
Experience working with customers in Europe is an asset.
