About this role
Role Overview
Acting as legal counsel on mergers, acquisitions, and divestiture transactions;
Advising on strategic corporate and transactional matters, including internal reorganizations, mergers, and strategic investments;
Participating in corporate financing matters, including public offerings and intercompany financings;
Analyzing applicable regulatory frameworks, preparing regulatory filings, and interacting with regulatory authorities;
Drafting and reviewing corporate documents, including articles, by‑laws, resolutions, shareholders’ agreements, powers of attorney, and other corporate records;
Supporting the management of the corporate entity portfolio, including incorporations, liquidations, and dissolutions;
Providing legal opinions in corporate, transactional, and public and private financing matters;
Monitoring legislative, regulatory, and jurisprudential developments and contributing to continuous improvement initiatives;
Collaborating closely with internal legal teams and business partners.
Requirements
Holds a Bachelor of Laws or any other relevant academic background;
Has a minimum of 10 years of experience in corporate and transactional law or in a similar role;
Is a member of the Barreau du Québec;
Is recognized for strong organizational skills and excellent priority management;
Stands out for sound professional judgment, rigor, and the ability to manage complex matters;
Demonstrates a high level of autonomy, adaptability, and the ability to perform under pressure;
Shows strong team spirit and delivers excellent service to internal and external partners;
Is fully proficient in French, both written and spoken;
Has an advanced level of English, as the role requires reading, analyzing, and drafting legal documents, as well as interacting regularly with internal and external English-speaking colleagues and partners across Canada and the United States;
Has knowledge of the insurance and financial services industry and competition law, considered an asset.
