Senior Corporate Lawyer

Role Overview

• Drafting and reviewing general corporate/business contracts, such as Investment Agreements, MOUs, Term Sheets, Purchase and Sale of Quotas/Shares, Shareholders' / Quotaholders' Agreements, association agreements, partnership agreements, consortium agreements, joint ventures, etc.;
• Legal structuring of deals, from transaction structuring through to debt instruments;
• Participation in various corporate transactions (M&A) and conducting legal due diligence;
• Drafting, filing and publication of corporate acts in general, particularly for corporations (sociedades anônimas), limited liability companies (limitadas) and associations;
• Involvement in asset and succession planning and corporate reorganization projects;
• Preparation of legal opinions and responses to inquiries on corporate law and corporate governance.

Requirements

• Law degree;
• Active registration with the Brazilian Bar Association (OAB);
• Solid experience in corporate law / contracts / business advisory (minimum 3 years);
• Proficiency in Microsoft Office (Word, Excel, PowerPoint and Outlook) and PDF tools;
• Advanced English.
• Desirable: accounting knowledge; prior experience in succession and estate planning; postgraduate degree in the area.
