Role Overview:

BASF Agricultural Solutions India Limited is seeking an experienced Legal and Company Secretarial professional to lead corporate governance, regulatory compliance, legal advisory, litigation, contract management and stakeholder engagement, with a strong focus on listing readiness in India.

Key Responsibilities:

Regulatory Compliance & Corporate Governance

• Lead compliance with Companies Act, SEBI regulations, Foreign Exchange laws, Secretarial Standards and other applicable corporate, data privacy, ESG and sector-specific regulations.
• Act as Key Managerial Personnel and provide governance support to the Board, Committees and senior management.
• Maintain governance frameworks, compliance calendars, internal controls and processes aligned with BASF corporate requirements.

Related Party Transactions & Intercompany Governance

• Oversee Related Party Transactions, including documentation, approvals, disclosures and compliance with applicable laws.
• Partner with finance, tax and business teams to mitigate governance, conflict-of-interest and intercompany transaction risks.

License to Operate (LtO) – Regulatory / Compliance Framework

• Safeguard BASIL’s regulatory License to Operate through strong legal and compliance risk management, maintaining trust with investors, the Board and group stakeholders.
• Oversee legal and compliance aspects of environmental, safety and sustainability requirements, including BRSR, in collaboration with EHS and operations teams.
• Maintain effective compliance systems, checklists and processes for corporate, listing and related regulatory requirements.

Legal Advisory, Litigation & Contract Management

• Provide legal advisory support on applicable laws, regulations, policies and business matters.
• Manage litigation, contracts, schemes, incentives, offers and legal risks, particularly in agro-chemicals.
• Support strategic projects and represent the business with regional and central legal teams as required.

Stakeholder & Investor Engagement

• Support investor relations, analyst and investor meetings, minority shareholder engagement and regulatory liaison.
• Interface with stock exchanges, MCA, ROC, auditors, regulatory authorities and BASF Group companies.

Key Qualifications & Experience:

• Qualified Company Secretary and LLB with more than 15 years’ experience including Company Secretarial exposure in listed companies in India.
• Strong knowledge of Companies Act, SEBI regulations, Foreign Exchange laws, corporate governance, RPTs and stakeholder management.
• Experience in MNCs, manufacturing/process industries or agro-chemicals will be an advantage.

• Excellent communication, influencing skills and stakeholder management skills.
• Ability to work effectively in a global, matrixed and cross-cultural environment.
