Maintain corporate records for the company and its subsidiaries, including the preparation of resolutions and filing of federal, provincial and extra-provincial reports in Canada (and review and coordinate the filing of equivalent documents in the United States and internationally) and participate in corporate reorganization transactions;
Coordinate board and committee meetings, prepare required documents (e.g., agendas, resolutions, minutes) and upload meeting documents on the directors’ portal (Diligent);
File insider declarations on SEDI as well as forms with various regulatory bodies (TSX, AMP) and maintain related internal records;
Contribute to the preparation of the company’s continuous disclosure obligations in accordance with applicable Canadian and U.S. securities laws and regulations (management information circular, annual information form, Annual Report on Form 40-F, etc.) and assist with filing thereof on SEDAR+ and EDGAR;
Participate in mergers and acquisitions, corporate reorganizations, and financing matters (drafting and coordination of documents, etc.), where applicable;
Review and analyze various reports and declarations according to established procedures and guidelines;
Communicate and coordinate with team members and internal departments to ensure the timely production of legal documents;
Ensure the management of the archiving system and departmental documents and manage the IT support and web platform for the board meetings;
More generally, provide legal administrative support to the team, including coordinating the payment of invoices, coordinating the signature of documents and carrying out any other task related to the corporate secretariat.
Requirements
Diploma of college studies (DCS) in paralegal technology or any other combination of relevant training/experience;
Minimum 10 years of experience as a paralegal acquired in a law firm or a publicly traded company;
Experience in corporate and securities law;
Ability to work in a bilingual environment;
Strong drafting skills of legal documents in both English and French;
Strong analytical and synthesis skills, and attention to detail;
Demonstrated business acumen to find practical solutions to issues addressed;
Excellent organizational skills, ability to work under pressure and management of priorities;
Flexibility and team spirit;
Autonomy, initiative, professionalism and discretion;
Solid proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
Knowledge of Diligent Boards, SEDI, SEDAR+ and Workiva.
