Manage corporate governance activities across the Americas, including maintaining corporate records, preparing resolutions, and supporting internal mergers and recapitalization projects.
Oversee Beneficial Ownership Information (BOI) reporting and handle state registrations for all group companies.
Support mergers, acquisitions, dispositions, and corporate reorganizations in the U.S., including document preparation and transaction coordination.
Assist with employment and litigation matters in the U.S. and Canada, including pre‑litigation support, litigation management, and maintaining litigation hold records.
Manage service‑of‑process communications, legal mail, and litigation reporting.
Collaborate with Senior Counsel, outside counsel, and internal teams to ensure timely, accurate execution of legal tasks.
Requirements
Paralegal certificate or 6+ years of equivalent experience; bachelor’s degree preferred
6+ years of paralegal experience in corporate governance, transactions, or litigation support
Strong drafting, organizational, and problem‑solving skills
Ability to work independently and collaborate with attorneys, outside counsel, and internal teams
Professional communication skills and sound judgment
Proficiency in Microsoft Office and database management; experience with contract management software preferred
Conversational Spanish, French, or Portuguese a plus
A minimum of 200Mb/sec download and 10Mb/sec upload speed internet connectivity is required to support any remote/hybrid employee functionality at Sonova
