Lead all equity and debt capital raising efforts, from initial strategy through close.
Identify, evaluate, and execute financing structures to support acquisitions and organic growth — including senior debt, subordinated debt, revolving facilities, seller financing, structured earn-outs, revenue-based financing, government grants, and strategic partnerships.
Leverage deep knowledge of capital markets and alternative funding sources to reduce cost of capital and maintain balance sheet flexibility.
Build and maintain relationships with lenders, credit funds, family offices, and equity investors.
Own debt covenant compliance and lender reporting obligations.
Serve as the primary point of contact for Solen's investor base — managing communications, reporting, and relationship-building.
Lead the preparation and delivery of quarterly shareholder reports and equity-related disclosures.
Own the equity management process, including tracking shares, options, warrants, and other equity instruments.
Partner with the CEO to set the capital allocation framework across the portfolio: organic reinvestment, bolt-on acquisitions, debt paydown, and distributions.
Advise on investment decisions, return thresholds, and deal structures — providing clear financial perspective and recommendation.
Requirements
10+ years of experience in investment banking, private equity, corporate development, or a capital markets-focused CFO role.
Demonstrated track record of successfully closing debt and/or equity financing transactions.
Strong M&A deal experience, including structuring, negotiation, and diligence.
Deep understanding of software / SaaS business models and recurring revenue dynamics.
Experience with portfolio company structures and managing financial oversight across multiple P&Ls.
Exceptional communicator — able to build credibility quickly with investors, lenders, boards, and operating teams.
Comfortable working in a lean environment without a large supporting team; resourceful and execution-oriented.
