Draft, review, and negotiate a variety of commercial agreements, including sales agreements, distribution agreements, purchasing contracts, group purchasing organization (GPO) agreements, and vendor/service agreements.
Provide legal guidance on contracting strategies that align with business objectives while ensuring compliance with applicable healthcare laws and regulations.
Advise on regulatory and compliance considerations impacting commercial arrangements, including the Anti-Kickback Statute, False Claims Act, Sunshine Act, and related state laws.
Review and structure relationships with distributors, suppliers, and healthcare providers to mitigate legal and compliance risks.
Support contracting related to product commercialization, including pricing, discounts, rebates, and value-based arrangements.
Partner cross-functionally with Sales, Marketing, Procurement, Compliance, and Regulatory teams to support business initiatives and contract execution.
Requirements
Direct experience supporting commercial contracting for medical device, pharmaceutical, or healthcare companies
Strong background in drafting and negotiating complex commercial agreements, particularly within regulated healthcare environments
Familiarity with healthcare fraud and abuse laws as applied to commercial relationships and contracting structures
Experience working within or advising medical device manufacturers or similar healthcare organizations
