Role Overview
Manage the corporate and legalization department end-to-end, working hands-on to organize routines, set priorities and ensure the technical quality of deliverables in a high-volume environment, handling thousands of corporate acts annually.
Coordinate complex processes related to articles of association, company formation, amendments, dissolution and regularization, strategically leading the management and reduction of the portfolio of Special Purpose Entities (SPEs).
Lead corporate legal support in M&A transactions, conducting or actively participating in Due Diligence, corporate reorganizations and new business development.
Structure, review and negotiate complex corporate instruments, including the formation of Joint Ventures, Shareholders' Agreements (SHA), Share Purchase Agreements/Quota Purchase Agreements (SPA/QPA), Memoranda of Understanding (MoU), Advance for Future Capital Increase (AFAC) and convertible loans.
Provide legal advisory on Project Finance transactions, including structuring, drafting and negotiating financing agreements, guarantees, and managing debt issuances (such as debentures and promissory notes).
Coordinate and directly execute corporate acts, including convening and conducting shareholders' meetings, board meetings and preparing proxy templates for manager signatures.
Work closely with the Governance Officer, providing cross-functional legal support for Corporate Governance routines and ensuring a strategic relationship and ongoing communication with Investor Relations (IR) and Finance teams.
Support the continuous development of corporate policies (Code of Conduct, Disclosure Policy, data privacy) and map compliance with statutory obligations and Shareholders' Agreements.
Requirements
Law degree with active registration in the Brazilian Bar Association (OAB).
Hands-on and relational profile: proven ability to be hands-on and excellent skills in interacting and negotiating with colleagues across departments (strong interface with Finance) and external service providers.
Prior, consolidated experience in the electricity/energy market, with familiarity with the sector's regulatory dynamics and business complexity.
Deep knowledge of the laws and rules applicable to corporations (S.A.) and limited liability companies (Ltda.).
At least 5 years of solid experience in corporate law, corporate governance routines and M&A/Capital Markets transactions.
Fluent English.
Digital and innovative mindset: ability to use, implement and adapt to Artificial Intelligence (AI) systems and new technologies to digitize the department and optimize workflows.
Specialization, LL.M. or postgraduate degree in Corporate Law, Business Law, Corporate Governance or Capital Markets.
