About this role
Role Overview
- Provide strategic legal advisory to senior leadership, focusing on corporate, contractual and regulatory matters;
- Support and lead matters related to Corporate Governance and Corporate Law, including support to boards of directors, committees and the structuring of governance bodies;
- Draft, review and negotiate contracts, with an emphasis on financial agreements and capital markets instruments;
- Advise on corporate transactions such as debt financings, public offerings, M&A, reorganizations and corporate restructurings;
- Ensure regulatory compliance with relevant authorities by monitoring applicable laws, rules and regulatory guidance;
- Prepare legal opinions, memoranda and presentations to support decision-making.
Requirements
- Law degree with active registration with the Brazilian Bar Association (OAB/PR);
- Proven solid experience in Corporate Governance and Corporate Law;
- In-depth knowledge of corporate legislation (Brazilian Corporation Law
- Lei das S.A., Civil Code, among others);
- Practical experience in complex corporate transactions (financings, M&A, public offerings, restructurings);
- Contract experience with a focus on financial agreements;
- Advanced proficiency in Microsoft Office.
- Preferred qualifications:
- Previous in-house legal experience, preferably at least 2 years;
- Postgraduate degree or specialization in Corporate Law, Corporate Governance or related areas;
- Intermediate to advanced English.
