Draft and prepare corporate legal documents, including board and shareholder resolutions, minutes, powers of attorney, officer certificates, and corporate authorizations.
Maintain and update minute books, corporate records, statutory registers, and organizational charts for U.S. and foreign entities.
Ensure accurate and up-to-date entity information within internal systems.
Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions.
Liaise with corporate agents, law firms, and government registries to ensure timely and compliant filings.
Manage the execution, notarization, apostille, and legalization of documents where required.
Support corporate compliance efforts, audits, due diligence, financing, and M&A-related activities.
Coordinate signatures and facilitate document circulation and approval workflows.
Assist Legal Counsel with legal research, document organization, and preparation of reports or internal summaries.
Requirements
Diploma/Certificate in Paralegal Studies or equivalent professional experience.
2+ years of experience in corporate law, legal operations, or in-house legal support.
Strong knowledge corporate governance, entity maintenance, and multi-state filings.
Excellent drafting skills, organization, and meticulous attention to detail.
Proficiency in Microsoft Office and legal/document management tools.
Experience working with multinational entities (e.g., Canada, Europe, Middle East, APAC).
Experience in technology, SaaS, or private-equity-backed organizations.
Bilingual (English/French) considered an asset.
