Draft and prepare corporate legal documents, including board and shareholder resolutions, minutes, powers of attorney, officers' certificates, and corporate authorizations.
Maintain minute books, corporate records, statutory registers, and organizational charts for U.S. and foreign entities.
Ensure the accuracy and currency of entity information in internal systems.
Coordinate annual filings, state registrations, incorporations, dissolutions, amendments, and other corporate changes across multiple jurisdictions.
Liaise with corporate agents, law firms, and government registries to ensure compliant and timely filings.
Manage signing, notarization, apostille, and legalization of documents when required.
Support corporate compliance efforts, audits, due diligence, financing, and M&A-related activities.
Coordinate signatures and facilitate document circulation and approval processes.
Assist legal counsel with legal research, document organization, and the preparation of internal reports or summaries.
Requirements
Diploma or certificate in paralegal studies (parajuridical) or equivalent professional experience.
More than 2 years of experience in corporate law, legal operations, or in-house legal support.
Strong knowledge of corporate governance, entity maintenance, and multi-state filings.
Excellent drafting skills, organizational abilities, and a meticulous attention to detail.
Proficiency in Microsoft Office and document and legal management tools.
