Legal Content Advisor - SPAC and Capital Markets

Edelman Legal Consulting PLLC is seeking a senior SPAC/capital markets attorney for a part-time advisory engagement. The role involves reviewing legal guidance outputs for technical accuracy and producing structured annotation memos, utilizing expertise in the SPAC lifecycle.

Responsibilities:

• Serve as a substantive reviewer for legal content project
• Review legal guidance outputs for technical accuracy
• Produce structured annotation memos

Requirements:

• Have 5+ years of active SPAC practice — S-1, S-4, BCA, trust mechanics, warrants, PIPE. Not just exposure; actual drafting
• Know what SEC comment examiners flag in practice, not just what the rules say
• Are currently active or recently stepped back (market knowledge needs to be current)
• Can commit to 5–10 hours/week on a flexible schedule
