Structure and review real estate contracts essential to project incorporation and implementation, such as purchase and sale agreements, swaps, assignments and preparatory agreements.
Analyze partnership agreements, investment instruments and real estate transactions with owners and investors.
Interact with registries, municipal governments and public agencies to coordinate, register and address project requirements.
Structure and monitor SPEs and other entities linked to projects and group companies, including corporate acts, minutes and documental governance.
Draft and review shareholders' agreements, investment instruments and documents that define responsibilities, resolutions and governance mechanisms.
Support corporate reorganizations and special transactions, assessing legal impacts and aligning documentation with MPD guidelines.
Monitor corporate obligations, ensuring compliance with deadlines and filings.
Advise the company in the review, drafting and negotiation of strategic contractual instruments.
Prepare legal analyses, opinions and technical notes aligned with risk assessments and compliance guidelines.
Support negotiations with partners, property owners, investors and other project stakeholders.
Manage external law firms when necessary, ensuring technical consistency and alignment with corporate objectives.
Lead the hiring and management of external law firms for specialized work on real estate and corporate matters, ensuring technical, strategic and budgetary alignment.
Participate in meetings with industry associations and institutional forums related to the real estate and construction sectors, following regulatory discussions and normative trends.
Support the implementation of contract reviews and internal adjustments resulting from legislative changes, especially regarding tax reform as applied to the real estate market.
The professional will work collaboratively with various company areas, including: Incorporation, Products and Projects, Engineering, Tax and Fiscal, Marketing, Customer Relations, Controllership, Finance, Procurement, Compliance, Risk and Governance, Executive Board.
Requirements
8 to 10 years of experience in Real Estate and Corporate Law, preferably in real estate development, construction or structured real estate market.
Law degree with active OAB registration.
Proven experience in Real Estate and Corporate matters.
Experience in developers, construction companies, real estate funds, engineering firms or specialized law firms.
Risk analysis capacity, technical drafting, negotiation skills and business-oriented mindset.
Clear communication, professional demeanor and ability to work with multidisciplinary teams.
Postgraduate degree in Real Estate Law, Business Law, Corporate Law or Contracts.
Experience with corporate governance and structuring of SPEs.
Experience in due diligence, complex real estate transactions and document management.
Ability to integrate legal analysis with economic, operational and strategic aspects.
