Provide day-to-day legal and administrative support, including managing deadlines, calendaring, proofreading, and coordinating internal and external communications
Support corporate governance, including preparing Board/committee minutes and materials, drafting resolutions and consents, coordinating meeting logistics, and maintaining the corporate record book
Support legal operations and records management, including invoice processing, legal spend tracking, and maintaining organized legal files and repositories
Support contract intake, review routing, execution, and storage for company and subsidiary agreements
Support litigation and disputes, including document collection, tracking key dates, and coordinating with outside counsel (including litigation holds)
Manage entity governance and required filings (e.g., annual reports, registered agent updates); track licenses/registrations and renewal deadlines in partnership with Compliance; and maintain accurate corporate records
Requirements
Paralegal certificate, associate degree, or equivalent combination of education and experience
3+ years of experience as a corporate paralegal or comparable legal support role; experience supporting corporate governance and contract administration strongly preferred
Notary Public certification (Washington State) required
Experience with corporate records/entity management and contract repository or contract lifecycle management (CLM) tools preferred
Strong organization, time management, and prioritization skills
Strong written, verbal, and interpersonal communication skills; ability to handle confidential information with discretion
Proficiency with Microsoft Office and ability to learn and use legal systems/tools (e.g., contract repository/CLM)
